PROMISE TO PAY: You promise to pay us or to our order, your monthly fees, with your authorized payment method at the the time you sign-up on our app, Train Station Fit Fam as provided herein. You shall make your payment to us at our LLC, Train Station Fitness Center LLC. unless we notify you in writing to make your payment to a different address.

TERMS OF MEMBERSHIP: You understand that you have signed an agreement to make certain payments for services rendered or to be rendered based on either a month-month basis, quarterly, or annually with a re-ocurring auto renew payment based on your chosen term until otherwized canceled. Failure to use the membership does notrelieve you of your liability to make payments. Your membership is non-refundable and non-cancelable except as provided in the contract. Services in the contract are for the agreed-upon term. After the initial term of this contract and your obligation to pay will be automatically converted to a auto-renew membership, staying consistent with the original terms and conditions of the contract until a 30 days written cancellation notice has been

received.

**If this contract is not extended as described above, and you later wish to renew your membership, an initiation fee may be charged.

LAW APPLICABLE: Colorado State Law governs this agreement. 

INVALID PROVISION: If any provisions of this contract are found to be invalid or unenforceable, the remainder of the contract will be valid and enforceable. 

ENTIRE AGREEMENT: If there are more than one of you signing this contract each of you is individually responsible to fully perform all obligations under this contract. This agreement constitutes the entire agreement of the parties and there are no representations, warranties, covenants, or undertaking other than those set forth herein.

NO WAIVER OF RIGHTS: We do not waive our rights to have future payments made when due if we accept late or partial payments or delay the enforcement of our rights on any occasion. 

APPLICATION OF PAYMENTS: We will apply payments to any currently due payment, and then to any late fees and interest, and finally to any past due to payments. 

DISHONORED CHECK FEE: If a check, draft, or order for the payment of money on any bank or other depository submitted by you to Train Station Fitness Center LLC. as payment is not honored by the bank, then Train Station Fitness Center LLC. may add a service fee to the unpaid balance as provided on the first page of this agreement.

DEFAULT: You are in default if (A) We do not receive an installment payment from you on or before the date it is due or (B) You fail to fulfill any obligations or promises under the Agreement including but not limited to full compliance with Train Station Fitness Center LLC. and Regulations. You agree that Train Station Fitness Center LLC. may withdraw dues plus any late fees via EFT or credit card as authorized on the first page of this agreement at any time you default.

ACCELERATION OF PAYMENTS: If you are in default, Train Station Fitness Center LLC. reserves the right to withdraw and demand payment of all unpaid dues along with any late fees at any time and as many times necessary until the

membership dues and fees are current.

ATTORNEY FEES AND COURT COSTS: If your failure to pay any one or more of the monthly payments hereunder results in Train Station Fitness Center LLC. retaining an attorney for collection proceedings, you shall pay reasonable attorney’s fees of 15% of the unpaid debt and court costs allowed by law.

RULES AND REGULATIONS: I understand that violation of the rules may cause my membership to be immediately terminated at the discretion of Train Station Fitness Center LLC. Train Station Fitness Center LLC. reserves the right to refuse service to you for any reason. Service may be refused due to any conduct Train Station Fitness Center LLC. sees unfit on or around the property of Train Station Fitness. You shall continue to be responsible for payment of accrued and remaining installments. Train Station Fitness Center LLC.

reserves the right to make additional rules and regulations as it deems necessary in its sole discretion.

LIABILITY WAIVER: It is expressly agreed that all use of the facilities shall be undertaken by a member at his/her own risk, and Train Station Fitness Center LLC. shall not be liable for any injuries or damage to any member or guest, or the property of any member or guest, or subject to any claim, demand, cause of action or damages whatever, including, without any limitations, those damages resulting from active or passive negligence on the part of Train Station Fitness Center LLC., its successors, or assigns as well as it its officers and agents, for such claims, demands, injuries, damages, actions or causes of action. It is especially agreed that Train Station Fitness Center LLC. shall not be responsible or liable to members or their guest for articles lost or stolen. Train Station Fitness Center LLC. also shall not be responsible or liable for loss or damage to any other property of members or their guests, including their automobiles and the contents. It is also agreed that any damages to Train Station Fitness Center LLC. facilities or property, or the property of any member by another member or their guest, is the sole responsibility of the offending member. You agree that you are responsible for any damages you caused to the facilities and the equipment.

NOTICE TO MEMBER:

(A) DO NOT SIGN THIS CONTRACT BEFORE YOU READ IT. (B) YOU ARE ENTITLED TO AN EXACT COPY OF THE PAPER YOU SIGNED. YOU HAVE RECEIVED A COMPLETED COPY OF THIS CONTRACT

WITH DISCLOSURES MADE IN COMPLIANCE WITH FEDERAL AND STATE LAW.

NOTICE: Any holder of this contract is subject to all claims and defenses which debtor could assert against Train Station Fitness Center LLC. of goods or services obtained pursuant herein.
